1. Who We Are

OwnABiz ("OwnABiz," "we," "us," or "our") is a business acquisition analysis tool operated by Cribtoso Holdings, Inc. This Privacy Policy describes how we collect, use, store, and protect information when you access or use our websites and applications (collectively, the "Service").

2. Information We Collect

We collect only what is necessary to provide the Service:

• Account information: Your name and email address when you sign in via Google or Microsoft OAuth.
• Analysis data: Financial figures and business details you enter when running a deal analysis. This data is yours and is stored solely to power your saved analyses and dashboard.
• Usage data: Basic technical information such as pages visited, features used, and error logs — collected to maintain and improve the Service.
• Payment information: Billing is handled entirely by Stripe. We do not collect, store, or have access to your credit card number or full payment details. Stripe's privacy policy governs payment data.
• Cookies and local storage: We use session storage to preserve form state across authentication redirects. We do not use tracking cookies or third-party advertising cookies.

3. How We Use Your Information

We use the information we collect exclusively to:

• Authenticate you and maintain your account session
• Store and retrieve your saved deal analyses
• Process subscription payments through Stripe
• Respond to support inquiries and communications you initiate
• Monitor, diagnose, and fix technical issues
• Improve the accuracy and performance of the Service

We do not use your data for advertising, behavioral profiling, or any purpose outside the direct operation of the Service.

4. We Will Never Sell Your Data

We will never sell, rent, lease, license, trade, or otherwise transfer your personal information or your analysis data to any third party for commercial purposes, marketing, or any other reason not directly required to operate the Service. This commitment is unconditional and not subject to exceptions for business transfers unless explicitly stated in Section 8.

5. Information Sharing and Disclosure

We do not share your personal information with third parties except in the following limited circumstances:

• Service providers: We share data with trusted infrastructure providers (Microsoft Azure for hosting and database, Stripe for payments, Anthropic for AI analysis) solely to operate the Service. These providers are contractually prohibited from using your data for their own purposes.
• Legal requirements: We may disclose information if required by law, court order, or governmental authority, or if we believe disclosure is necessary to protect the rights, property, or safety of OwnABiz, our users, or the public.
• With your explicit consent: We will share information in any other circumstances only with your prior written consent.

6. Data Retention

We retain your account information and saved analyses for as long as your account is active. If you delete your account or individual analyses, that data is removed from our systems within 30 days. Anonymized, aggregated usage statistics that cannot identify you may be retained indefinitely for product improvement purposes.

7. Data Security

We take reasonable and appropriate technical and organizational measures to protect your information against unauthorized access, alteration, disclosure, or destruction. These measures include encrypted data transmission (TLS), access controls, and secure cloud infrastructure managed through Microsoft Azure. However, no method of transmission or storage is 100% secure, and we cannot guarantee absolute security.

8. Business Transfers

If OwnABiz is involved in a merger, acquisition, or sale of assets, your information may be transferred as part of that transaction. We will notify you via email and/or a prominent notice on the Service prior to any such transfer and inform you of any choices you may have regarding your data.

9. Children's Privacy

The Service is not directed to individuals under the age of 18. We do not knowingly collect personal information from minors. If you believe a minor has provided us with personal information, please contact us and we will delete it promptly.

10. Your Rights

You have the right to:

• Access the personal information we hold about you
• Correct inaccurate or incomplete data
• Request deletion of your account and associated data
• Export your saved analyses
• Withdraw consent where processing is based on consent

11. Changes to This Policy

We may update this Privacy Policy from time to time. We will notify you of material changes by posting the new policy on this page with an updated effective date and, where appropriate, by sending an email notification. Your continued use of the Service after changes become effective constitutes acceptance of the revised policy.

Terms of Service

1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Cribtoso Holdings, Inc. ("OwnABiz," "we," "us," or "our") governing your access to and use of the OwnABiz website and application (collectively, the "Service"). By creating an account, accessing, or using the Service in any manner, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference.

2. Description of Service

OwnABiz is a financial analysis tool designed to assist users in evaluating potential business acquisitions. The Service provides calculators, metrics, benchmarks, and AI-generated analysis to help users assess financial data they input. The Service is provided for informational and educational purposes only.

3. Eligibility

You must be at least 18 years of age and capable of forming a binding contract to use the Service. By using the Service, you represent and warrant that you meet these requirements. The Service is intended for use by individuals and businesses in jurisdictions where such use is lawful.

4. Account Registration and Security

To access certain features, you must authenticate via a supported third-party identity provider (Google or Microsoft). You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activity that occurs under your account
• Notifying us immediately of any unauthorized access at hello@ownabiz.io

We reserve the right to suspend or terminate accounts that we reasonably believe have been compromised or are being used in violation of these Terms.

5. Subscription and Payment

OwnABiz offers a free tier and a paid Pro subscription. By subscribing to the Pro plan, you agree to pay the applicable fees as described at the time of purchase. All payments are processed by Stripe. Subscriptions automatically renew unless cancelled before the renewal date. You may cancel at any time through the account management portal. Refunds are not provided for partial billing periods except where required by applicable law.

We reserve the right to change subscription pricing with at least 30 days' advance notice to active subscribers.

6. Disclaimer of Financial and Professional Advice

All outputs generated by the Service — including but not limited to EBITDA calculations, SDE estimates, valuation multiples, DSCR figures, cash flow projections, AI acquisition scores, and industry benchmarks — are provided for informational purposes only and should not be relied upon as the sole basis for any business acquisition decision.

You acknowledge that:

• Business acquisition decisions involve significant financial risk and complexity
• The accuracy of outputs depends entirely on the accuracy of data you input
• Benchmarks and third-party data may be incomplete, outdated, or not applicable to your specific situation
• AI-generated analysis is probabilistic and may contain errors or omissions
• You should consult qualified financial, legal, and accounting professionals before making any acquisition decision

7. No Warranty; Limitation of Liability

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, OR NON-INFRINGEMENT.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, OWNABIZ AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF DATA, BUSINESS INTERRUPTION, OR ANY FINANCIAL LOSSES RESULTING FROM BUSINESS ACQUISITION DECISIONS MADE IN RELIANCE ON OUTPUTS FROM THE SERVICE.

IN NO EVENT SHALL OWNABIZ'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE EXCEED THE GREATER OF (A) THE TOTAL FEES PAID BY YOU TO OWNABIZ IN THE TWELVE MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100).

8. Indemnification

You agree to indemnify, defend, and hold harmless OwnABiz and its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any applicable law or third-party right; or (d) any data or content you submit to the Service.

9. Acceptable Use

You agree not to use the Service to:

• Violate any applicable local, state, national, or international law or regulation
• Input false, misleading, or fraudulent financial data with intent to deceive any third party
• Attempt to gain unauthorized access to any part of the Service or its infrastructure
• Reverse engineer, decompile, disassemble, or attempt to derive the source code of the Service
• Scrape, crawl, or systematically extract data from the Service without our prior written consent
• Use automated tools, bots, or scripts to access or interact with the Service
• Interfere with or disrupt the integrity or performance of the Service
• Resell, sublicense, or commercially exploit the Service or its outputs without our prior written consent
• Impersonate any person or entity or misrepresent your affiliation with any person or entity

10. Intellectual Property

The Service, including its design, software, algorithms, text, graphics, and all other content (excluding data you input), is owned by or licensed to OwnABiz and is protected by copyright, trademark, and other intellectual property laws. Nothing in these Terms grants you any right, title, or interest in the Service or its underlying technology beyond the limited license to use the Service as expressly provided herein.

You retain ownership of all financial data and business information you input into the Service. By inputting data, you grant us a limited, non-exclusive license to process that data solely for the purpose of providing the Service to you.

11. Third-Party Services and Data

The Service integrates with or relies upon third-party services and data sources, including but not limited to Microsoft Azure, Stripe, Anthropic AI, and US Census Bureau data. We do not control and are not responsible for the availability, accuracy, or practices of these third parties. Your use of third-party services is subject to their respective terms and privacy policies.

12. Availability and Modifications

We reserve the right to modify, suspend, or discontinue the Service (or any part thereof) at any time with or without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuation of the Service. We may update these Terms at any time. Continued use of the Service after updated Terms are posted constitutes acceptance of the revised Terms.

13. Termination

We may suspend or terminate your access to the Service at our sole discretion, with or without cause, and with or without notice. Upon termination, your right to use the Service ceases immediately. Sections 6, 7, 8, 10, 14, and 15 of these Terms survive termination.

14. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law provisions. Any dispute arising out of or related to these Terms or the Service shall first be subject to good-faith negotiation. If unresolved, disputes shall be submitted to binding arbitration in accordance with the rules of the American Arbitration Association, conducted in Texas. You waive any right to participate in a class action lawsuit or class-wide arbitration against OwnABiz.

15. General Provisions

These Terms, together with our Privacy Policy, constitute the entire agreement between you and OwnABiz regarding the Service and supersede all prior agreements. If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect. Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.
